EezConvention Terms & Conditions

Welcome to EezConvention, a product operated by EezPlatforms LLC (“EezPlatforms,” “Company,” “we,” “our,” or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of the EezConvention mobile application, website, and related services (collectively, the “Platform”).

1. Acceptance of Terms

By creating an account, accessing, or using EezConvention, you acknowledge that:

• You have read and understood these Terms;
• You agree to comply with these Terms;
• You are legally capable of entering into a binding agreement.

These Terms apply to all users, including convention organizers, committee members, administrators, volunteers, vendors, guests, speakers, sponsors, and other participants using the Platform.

2. Electronic Consent and E-Sign Acceptance

By creating an account, clicking “Accept,” accessing, or using the Platform, you acknowledge and agree that such actions constitute your electronic signature and acceptance of these Terms.

You consent to receive agreements, notices, disclosures, updates, and other communications electronically, including through the Platform, email, push notifications, or other electronic means. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

3. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Platform.

By using the Platform, you represent and warrant that:

• You have the legal authority to enter into these Terms;
• Your use of the Platform complies with applicable laws and regulations;
• Any information you provide is accurate and current.

4. User Accounts

To use certain features of the Platform, you must create an account using supported authentication providers.

You are responsible for:

• Maintaining the confidentiality of your account credentials;
• Restricting access to your device;
• All activities that occur under your account;
• Promptly notifying us of unauthorized account access.

We reserve the right to suspend or terminate accounts that violate these Terms or create security, operational, legal, or reputational risk to the Platform or its users.

5. Social Login Authentication

EezConvention supports authentication through third-party identity providers, including Google Sign-In and Apple Sign-In.

By using these services, you authorize us to receive certain account information from those providers in accordance with their respective privacy policies and permissions granted by you.

Your use of third-party authentication services is subject to their own terms and policies. EezPlatforms LLC is not responsible for the availability, security, or operation of third-party authentication services.

6. Description of Services

EezConvention is a convention and event management software platform designed to assist organizations with:

• Convention creation and management;
• Committee coordination;
• Task management;
• Notifications and messaging;
• Document sharing;
• Event scheduling;
• Venue and room coordination;
• Role-based access management;
• Vendor coordination.

The Platform is provided solely as a software and collaboration tool.

EezConvention does not:

• Organize or manage conventions on behalf of users;
• Guarantee vendor performance;
• Verify the accuracy of user-generated content;
• Resolve disputes between users;
• Provide financial, legal, tax, insurance, or professional event management services;
• Process payments, provide escrow services, or offer ticket sales.

7. No Emergency Services

The Platform is intended solely for convention and event management purposes and is not designed for emergency communications, public safety operations, medical emergencies, crisis response, or urgent response situations.

Users should not rely on the Platform for emergency or time-critical communications. In an emergency, users should contact appropriate emergency services or responsible onsite personnel.

8. User Responsibilities

You agree to use the Platform responsibly and lawfully.

You are solely responsible for:

• Content you upload or share;
• Communications sent through the Platform;
• Maintaining accurate information;
• Obtaining permissions for uploaded materials;
• Complying with applicable laws, regulations, contracts, venue requirements, and organizational policies.

You agree not to:

• Use the Platform for unlawful purposes;
• Impersonate another person or organization;
• Upload malicious code or harmful content;
• Interfere with Platform operations;
• Attempt unauthorized access to systems, accounts, or data;
• Use automated tools to scrape, copy, or extract Platform data without authorization.

9. Convention Administrator Responsibilities

Convention administrators are responsible for:

• Managing member access and permissions;
• Maintaining accurate convention information;
• Moderating convention-related content;
• Ensuring proper use of the Platform by their members;
• Managing schedules, venues, rooms, committees, and role assignments;
• Ensuring that uploaded content and communications comply with applicable laws and organizational policies.

EezPlatforms LLC is not responsible for decisions made by convention administrators, including role assignments, scheduling decisions, access restrictions, committee organization, content moderation, venue allocation, member invitations, or removal of users.

10. Convention Data Ownership and Organizational Control

Convention-related data, schedules, documents, communications, records, tasks, announcements, venue information, and committee information uploaded to the Platform may remain associated with the applicable convention or organization even if individual user accounts are removed, deactivated, or reassigned.

Convention administrators are responsible for determining appropriate ownership, retention, access rights, role assignments, and permissions for convention-related information.

If there is a dispute between users, administrators, committees, vendors, or organizations regarding access to or ownership of convention-related data, EezPlatforms LLC may defer to the designated convention administrator or organization representative unless required otherwise by law.

11. Acceptable Use Policy

Users must use the Platform in a professional, lawful, and respectful manner.

Prohibited content and conduct include:

• Harassment, abusive, threatening, hateful, or discriminatory behavior;
• Fraudulent or deceptive activity;
• Uploading illegal, infringing, defamatory, obscene, or unauthorized content;
• Spam, phishing, unsolicited advertising, or unauthorized marketing;
• Distribution of malware, malicious software, or harmful code;
• Attempts to interfere with Platform operations or security;
• Unauthorized access to systems, data, or accounts;
• Reverse engineering, decompiling, or attempting to extract source code;
• Using the Platform in violation of applicable laws or regulations.

We reserve the right, but not the obligation, to review, monitor, remove, restrict, disable, or preserve content or accounts that violate these Terms, create security concerns, or may expose the Platform, EezPlatforms LLC, or users to harm or legal liability.

12. Intellectual Property

The Platform, including its software, branding, logos, designs, interfaces, workflows, documentation, and content created by EezPlatforms LLC, is owned by or licensed to EezPlatforms LLC and protected by applicable intellectual property laws.

You may not:

• Copy or reverse engineer the Platform;
• Modify, distribute, or commercially exploit Platform software;
• Use Company branding without authorization;
• Attempt to replicate or resell Platform functionality without written permission.

EezConvention and associated branding are proprietary to EezPlatforms LLC.

13. User Content Ownership

You retain ownership of content you upload, submit, or share through the Platform, including documents, images, messages, schedules, convention information, vendor information, announcements, and communications.

You represent and warrant that you have the rights, permissions, and authority necessary to upload, submit, share, and authorize use of such content through the Platform.

14. License to Use Uploaded Content

By uploading content to the Platform, you grant EezPlatforms LLC a limited, non-exclusive, worldwide, royalty-free license to store, host, process, display, transmit, reproduce, backup, and otherwise use such content solely for the purpose of operating, maintaining, securing, supporting, and improving the Platform.

We do not claim ownership of your uploaded content.

15. Data Availability and Backup

While EezPlatforms LLC strives to maintain reliable service availability and data integrity, we do not guarantee that uploaded content, schedules, messages, files, tasks, announcements, or convention records will always be available, accurate, recoverable, or preserved without interruption.

Users and convention organizations are responsible for maintaining independent backups of important information. EezPlatforms LLC is not responsible for losses resulting from failure to maintain independent records or backups.

16. Privacy

Your use of the Platform is also governed by our Privacy Policy. Please review the Privacy Policy carefully to understand how we collect, use, store, disclose, and protect your information.

17. Notifications and Communications

By using the Platform, you consent to receive:

• Push notifications;
• Service-related emails;
• Administrative communications;
• Security notifications;
• Convention-related announcements and reminders.

You may manage certain notification preferences within the app, your account settings, or your device settings. Some service-related communications may be necessary for account, security, or operational purposes.

18. Service Availability and Maintenance

We may temporarily suspend, restrict, or interrupt access to the Platform for maintenance, upgrades, security events, infrastructure changes, operational reasons, or events beyond our reasonable control.

EezPlatforms LLC does not guarantee uninterrupted, timely, secure, or error-free operation of the Platform.

19. Mobile App Usage

EezConvention may be accessed through iOS and Android applications.

You acknowledge that:

• Your mobile carrier’s standard charges may apply;
• App functionality may vary by device, operating system, region, or app version;
• Availability may depend on third-party app stores, operating systems, and network connectivity.

Your use of third-party app stores is governed by their respective terms and conditions.

20. App Store Providers

Apple Inc., Google LLC, and their respective affiliates are not sponsors of, and are not responsible for, the Platform, its content, its functionality, support, maintenance, warranties, or any claims relating to the Platform.

To the extent required by applicable app store terms, Apple and Google may be third-party beneficiaries of certain provisions related to mobile app usage, but EezPlatforms LLC remains solely responsible for the Platform as between you and EezPlatforms LLC.

21. Third-Party Services

The Platform may integrate with or rely on third-party services including cloud hosting providers, authentication providers, notification services, analytics providers, communication services, and app store providers.

We are not responsible for the practices, availability, reliability, security, or performance of third-party services. Your use of third-party services may be subject to separate terms and privacy policies.

22. Vendor and Third-Party Relationships

The Platform may facilitate coordination and communication between convention organizers, vendors, venues, speakers, volunteers, sponsors, suppliers, contractors, and other third parties.

EezConvention and EezPlatforms LLC do not employ, supervise, endorse, certify, guarantee, or assume responsibility for any vendor, venue, supplier, contractor, speaker, sponsor, volunteer, or third-party service provider.

Any agreements, disputes, services, scheduling matters, communications, commercial arrangements, or service relationships between users and third parties are solely between those parties. EezPlatforms LLC is not responsible for third-party performance, availability, quality, pricing, conduct, or compliance.

23. Offline Subscriptions and Payments

EezConvention may support organizations, conventions, associations, committees, or enterprise customers that subscribe to the Platform through offline, direct, invoice-based, contract-based, proposal-based, or other non-digital commercial arrangements with EezPlatforms LLC.

The Platform does not currently process online payments, in-app purchases, digital subscriptions, ticket sales, escrow transactions, payment card processing, or consumer payment transactions through the mobile application or website.

Any subscription fees, billing terms, renewals, cancellations, taxes, refunds, payment obligations, or commercial terms relating to offline subscriptions shall be governed by the separate written agreement, invoice, proposal, order form, statement of work, or other commercial arrangement between EezPlatforms LLC and the applicable organization or customer.

Individual users of the Platform may not have authority to modify, terminate, dispute, or manage an organization’s offline subscription unless they are authorized representatives of that organization.

EezPlatforms LLC reserves the right to suspend or restrict access to paid organizational features if applicable offline subscription fees are not paid in accordance with the applicable commercial agreement or invoice.

24. Beta and Experimental Features

From time to time, the Platform may include beta, preview, experimental, pilot, or early-access features.

Such features are provided “as is” and may be modified, suspended, limited, or discontinued at any time without notice. EezPlatforms LLC makes no guarantees regarding the reliability, availability, performance, security, accuracy, or continued availability of beta or experimental features.

25. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by law, EezPlatforms LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, uninterrupted access, data accuracy, and system compatibility.

We do not guarantee:

• Error-free operation;
• Accuracy of user-generated content;
• Availability at all times;
• Compatibility with all devices or operating systems;
• Preservation, recovery, or completeness of uploaded data;
• Successful convention, vendor, venue, or committee outcomes.

26. Limitation of Liability

To the fullest extent permitted by law, EezPlatforms LLC and its affiliates, officers, employees, contractors, licensors, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or related to:

• Use or inability to use the Platform;
• Convention disruptions, scheduling conflicts, or operational issues;
• Vendor disputes or third-party conduct;
• Loss of profits, revenue, business opportunities, goodwill, or anticipated savings;
• Data loss, deletion, corruption, unavailability, or unauthorized access;
• System outages, service interruptions, delays, or degraded performance;
• Cybersecurity incidents, malware, unauthorized access, or security breaches;
• Errors, omissions, or inaccuracies in user-generated content;
• Actions or omissions of convention administrators, users, vendors, venues, or other third parties.

This limitation applies whether based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if EezPlatforms LLC has been advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of EezPlatforms LLC arising from or relating to the Platform or these Terms shall not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

27. Indemnification

You agree to indemnify, defend, and hold harmless EezPlatforms LLC, its affiliates, officers, employees, contractors, licensors, service providers, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your use or misuse of the Platform;
• Your uploaded content;
• Your violation of these Terms;
• Your violation of applicable laws or third-party rights;
• Convention-related disputes involving your organization, committee, vendor, venue, or participants;
• Your negligence, misconduct, or unauthorized activity.

28. Force Majeure

EezPlatforms LLC shall not be liable for delays, interruptions, data unavailability, service failures, or failures in performance resulting from causes beyond its reasonable control, including natural disasters, internet or infrastructure outages, cloud provider failures, cyberattacks, labor disputes, governmental actions, acts of war, terrorism, civil unrest, pandemics, power failures, or failures of third-party services.

29. Export Compliance and Sanctions

Users may not access or use the Platform in violation of United States export control laws, sanctions regulations, or other applicable international trade laws.

By using the Platform, you represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to applicable U.S. trade restrictions, and that you are not listed on any applicable restricted party list.

30. Suspension and Termination

We reserve the right to suspend, restrict, or terminate access to the Platform at our discretion, including for:

• Violations of these Terms;
• Fraudulent activity;
• Security concerns;
• Abuse of the Platform;
• Harmful or illegal conduct;
• Requests from convention administrators regarding convention access;
• Operational or legal reasons.

Termination does not relieve you of obligations incurred prior to termination, including indemnification obligations and restrictions on misuse of the Platform.

31. Account Deletion and Data Retention

Users may request account deletion by contacting EezPlatforms LLC through the support channels provided on the Platform.

Certain information may be retained after account deletion where necessary for:

• Legal compliance;
• Security purposes;
• Fraud prevention;
• Operational continuity;
• Convention recordkeeping;
• Backup and disaster recovery;
• Dispute resolution;
• Enforcement of these Terms.

Convention-related records may remain accessible to authorized convention administrators after individual account removal, subject to applicable law and organizational controls.

32. Governing Law

These Terms shall be governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles.

33. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting EezPlatforms LLC.

Any disputes arising from or relating to these Terms or the Platform shall be resolved in the state or federal courts located in North Carolina, unless otherwise required by applicable law.

34. Binding Arbitration and Class Action Waiver

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your account, or your use of the Platform shall be resolved by binding arbitration on an individual basis, rather than in court.

You and EezPlatforms LLC agree that each party may bring claims only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.

The arbitrator may award relief only to the individual party seeking relief and may not consolidate claims or preside over any class or representative proceeding.

Nothing in this Section prevents either party from seeking relief in small claims court where permitted, seeking injunctive or equitable relief for intellectual property misuse, unauthorized access, security abuse, or confidentiality violations, or reporting matters to government authorities.

35. DMCA and Copyright Complaints

EezPlatforms LLC respects intellectual property rights and expects users of the Platform to do the same. Users may not upload, post, share, or distribute content through the Platform unless they have the legal right to do so.

If you believe that content available on or through the Platform infringes your copyright, you may submit a written notice to EezPlatforms LLC that includes your full legal name and contact information, a description of the copyrighted work, the location of the allegedly infringing content, a good-faith statement that the use is not authorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature.

Copyright notices may be sent to support@eezconvention.com. EezPlatforms LLC may remove or disable access to allegedly infringing content and may suspend or terminate accounts of repeat infringers where appropriate.

If you believe your content was removed or disabled by mistake, you may contact us with information supporting your claim. We may restore content when appropriate and consistent with applicable law.

36. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on the Platform with a revised “Last Updated” date.

Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms. For material changes, we may provide additional notice through the Platform, email, or other reasonable means.
